INDEPENDENT CONTRACTOR AGREEMENT FOR DELIVERY SERVICESThis Independent Contractor Agreement ("Agreement") is entered into by and between:Click2Order Software Solutions Inc. (Doing Business as: Chews Local Delivery, Swift Send) ("Company"), with its principal place of business at 53 Prince St. Sydney, NS B1P 5J5 and You the Driver ("Contractor"). RECITALS The Company provides delivery services for various merchants including restaurants, retailers, grocers, and others as requested. The Contractor is an independent contractor providing delivery services. The parties desire to establish the terms and conditions under which the Contractor will provide delivery services to the Company.
ARTICLE 1: SCOPE OF WORK 1.1 The Contractor agrees to provide delivery services to the Company's customers, as assigned by the Company. 1.2 The Contractor shall use their vehicle and equipment to perform deliveries. 1.3 The Contractor shall comply with all applicable laws, regulations, and Company policies.A
RTICLE 2: INDEPENDENT CONTRACTOR STATUS 2.1 The Contractor is an independent contractor, not an employee of the Company. 2.2 The Contractor is responsible for their taxes, benefits, and expenses. 2.3 The Contractor shall not represent themselves as an employee or agent of the Company.
ARTICLE 3: COMPENSATION 3.1 The Company shall pay the Contractor a fee per delivery, that will be displayed at the time a delivery is offered. Tips pre-paid by the customer will be displayed at the time the delivery is offered. 3.2 Payments shall be made weekly on Fridays.
ARTICLE 4: TERM AND TERMINATION 4.1 This Agreement commences on the Effective Date and continues until terminated. 4.2 Either party may terminate this Agreement at any time upon written notice.
ARTICLE 5: CONFIDENTIALITY 5.1 The Contractor shall maintain confidentiality of Company and customer information. 5.2 The Contractor shall not disclose or use confidential information for personal gain.
ARTICLE 6: INTELLECTUAL PROPERTY 6.1 The Contractor assigns to the Company all rights to intellectual property created. 6.2 The Contractor shall not use Company intellectual property for personal gain.
ARTICLE 7: LIABILITY AND INSURANCE 7.1 The Contractor shall maintain liability insurance and vehicle insurance. 7.2 The Contractor is responsible for damages or losses caused.
ARTICLE 8: BACKGROUND CHECKS AND VERIFICATIONS
8.1 The Contractor consents to the Company conducting background checks, including but not limited to:Criminal record checksDriver abstractsVerification of driver's license 8.2 The Contractor shall provide updated proof of insurance, driver abstract, and driver's license upon request. 8.3 The Contractor understands that failure to provide requested documentation or failure to pass a background check may result in termination of this Agreement.
ARTICLE 9: DISPUTE RESOLUTION 9.1 Any disputes arising out of or related to this Agreement shall be resolved through the following process:a. Mediation: The parties shall attempt to resolve the dispute through mediation, conducted by a neutral third-party mediator.b. Arbitration: If mediation is unsuccessful, the dispute shall be resolved through binding arbitration, conducted by a single arbitrator.c. Governing Law: The arbitration shall be governed by the laws of Nova Scotia, Canada.d. Confidentiality: The parties shall maintain confidentiality of the dispute resolution process. 9.2 The parties agree to cooperate in good faith to resolve disputes efficiently and effectively.
ARTICLE 10: GOVERNING LAW 10.1 This Agreement is governed by Nova Scotia, Canada laws. 10.2 Disputes shall be resolved through the dispute resolution process outlined in Article
9.SCHEDULE A: DELIVERY TERMSDelivery Areas: The Contractor shall provide delivery services within the designated delivery areas, as specified by the Company. Delivery Hours: The Contractor shall be available to provide delivery services during the designated delivery hours selected by the contractor each week. Delivery Timeframes: The Contractor shall make every effort to deliver packages within the estimated delivery timeframes, as specified by the Company. Failure to do so may result in termination. Package Handling: The Contractor shall handle packages with care and ensure that they are delivered to the correct recipient. Failure to do so may result in termination. Proof of Delivery: The Contractor shall obtain a photo and signature upon delivery, where required. Delivery Exceptions: The Contractor shall notify the Company of any delivery exceptions, including but not limited to: Failed deliveries, Damaged packages, Missing packages. Communication: The Contractor shall communicate with the Company and recipients in a professional and courteous manner. GPS Tracking: The Contractor agrees to enable location services within the driver app, as required by the Company.
By accepting and completing deliveries you agree to the terms set forth.
